If you are a music partner with an SRAV agreement containing a change of control term, and are or have been acquired, you are obligated to provide legal notice. Please contact your partner manager at YouTube if you have any questions. If the change of control notice is not received within the timeframe specified in your SRAV, any features that you currently have access to, such as the ability to link channels, may be suspended.
At minimum, the change of control notice should include the following information:
- The date that the change of control took/will take into effect;
- Information about the acquiring party, including their legal name, state or country of organisation, and principal place of business; and
- What is being acquired; all of your assets and business, or perhaps only one division or certain assets.
Following receipt of the change of control notice, YouTube will advise you if your SRAV agreement has been terminated, at which point your acquiring party may reapply for a direct SRAV agreement or choose to distribute your music content via a preferred music distributor. Please contact your partner manager if you have any questions and to discuss your options.
If YouTube does not advise you that your SRAV has been terminated due to the change of control and your acquiring party has an existing SRAV with YouTube, all applicable music videos, sound recordings and Art Tracks in your existing content owner must be transferred to the acquiring party's content owner. Speak to your partner manager about the process of transferring content and an appropriate timeline to complete the transfer, after which your existing content owner will be closed and your direct SRAV agreement with YouTube will be terminated.
If YouTube does not advise you that your SRAV is terminated due to the change of control and your acquiring party does not have an existing SRAV with YouTube, then speak to your partner manager to prepare the relevant transfer documents (e.g., novation, assignment agreement).
