Nest Renew Premium Additional Terms of Service

To use Nest Renew Premium, you must accept (1) the Google Terms of Service, (2) the Nest Terms of Service, (3) the Google Pay/Google Payments Additional Terms of Service (U.S.), and (4) these Nest Renew Premium Additional Terms of Service (the “Nest Renew Premium Additional Terms”). 

 

Please read each of these documents carefully. Together, these documents are known as the “Terms”. They establish what you can expect from us as you use our services, and what we expect from you. 

 

If these Nest Renew Premium Additional Terms conflict with the Google Terms of Service, the Nest Terms of Service, or the Google Pay/Google Payments Additional Terms of Service (U.S.), these Nest Renew Premium Additional Terms will govern for Nest Renew Premium. 

 

Besides these Terms, we also publish a Privacy Policy, which describes how we treat personal information when you use Google’s products and services. Although it’s not part of these Terms, we encourage you to read it to better understand how you can update, manage, export, and delete your information.

Nest Renew Doesn’t Provide Electricity

Nest Renew Premium is a paid service to help you support clean energy. Through Nest Renew Premium, Google may purchase renewable energy credits (RECs) on your behalf. We don’t generate, sell, or supply energy or electricity. Enrolling in Nest Renew Premium doesn’t change your electric utility provider. Enrolling in Nest Renew Premium also doesn’t affect the energy that your electric utility provider buys to power your home.

Utility Account and Relationship

Utility Account Information. To enable the Nest Renew Premium services, you provide us with information (“Utility Account Information”) during enrollment about the electric utility account that you wish to link to Nest Renew Premium (your “Utility Account”), including the account number. By submitting the Utility Account Information to us, you certify that you are the customer of record for your Utility Account or are an authorized user and have been properly authorized by the customer of record to disclose the Utility Account Information to us and enable the Nest Renew Premium services. You are responsible for the accuracy of the Utility Account Information.

Residential Accounts Only. Nest Renew Premium may only be used by individuals for personal, family, or household purposes and not for any commercial or business purpose. You agree not to attempt to enroll any commercial utility account in Nest Renew Premium.

Utility Relationship. You are authorizing us to facilitate payments to your Utility Account, as detailed in the section below labeled “Payments.” You remain responsible for monitoring and responding to communications from your electric utility provider.

Disclaimer of Utility Liabilities. Google isn’t a party to any transaction between you and your electric utility provider. Your relationship with your electric utility provider is governed by the terms of that relationship and isn’t affected by these Terms or our provision of the Nest Renew Premium services. To the extent allowed by applicable law, Google isn’t liable for damages of any type (including direct and indirect damages) arising under or in connection with the supply, transmission, or distribution of electricity, including power outages or surges.

Clean Energy Match

Overview. We may purchase renewable energy credits (RECs) to match the amount of fossil fuel-generated electricity we estimate you consume at home. We refer to this as your “Clean Energy Match.” A “renewable energy credit” or “REC” is a certificate representing the environmental benefits from one megawatt hour of renewable electricity generation, and it is separate from the electricity itself. Clean Energy Match is a REC product and does not contain (or provide you with) electricity.

Details; Changes. You can find a detailed explanation of RECs and our methodology for providing your Clean Energy Match in the Google Nest Help Center. We reserve the right to make changes to this methodology at any time without notice to you. 

Estimates Not Guaranteed to Be Accurate. We try to accurately estimate the amount of fossil fuel-generated electricity consumed at your home, but our estimates are only estimates. These estimates may vary from the actual amount of fossil fuel-generated electricity consumed at your home. 

REC Retirement. RECs serve as a tool for keeping track of which person (or entity) can take credit for the environmental benefits from renewable electricity generation. When a REC is “retired” on behalf of a person in a tracking system (like the North American Renewables Registry, for example), the environmental benefits represented by that REC are granted to that person permanently, so other people can’t take credit for them. You agree that we may retire RECs on your behalf, either by retiring RECs in your name or in Google’s name on your behalf. In either case, you – not Google – will have the right to take credit for the environmental benefits of RECs that are retired on your behalf.

Payments

General. Google Payment Corp. (also referred to as “GPC”), a subsidiary of Google LLC, offers or facilitates the Payment Services, as described in this section. The Payment Services are GPC Services under the Google Payments Terms of Service.

 

Definitions.

Google Payment Corp. or GPC means Google Payment Corp., a subsidiary of Google LLC.

Payment Services” means, collectively, the Subscription Payment Service and the Utility Bill Payment Processing Service.

Payment Transaction” means any Subscription Payment Transaction or Utility Bill Payment Transaction.

Payment Statement” means a statement reflecting the Subscription Payment Amount and/or the Utility Bill Payment Amount you owe for the billing cycle.

Subscription Payment Service” means the service by which GPC stores your registered Payment Method information in connection with your Google Payments Account and facilitates processing of or processes a payment to Google LLC for the Nest Renew Premium services.

Subscription Payment Amount” means the dollar amount of a Subscription Payment Transaction for the Nest Renew Premium services to be paid to Google, and any related fees, taxes, or other charges, as applicable.

Subscription Payment Transaction” means the processing of a payment that results in the debiting or charging, or other related transaction, of the Subscription Payment Amount for the Nest Renew Premium services to your Payment Method.

Utility Bill Payment Amount” means the dollar amount of a Utility Bill Payment Transaction to be paid to your electric utility provider, and any related fees, taxes, or other charges, as applicable. Note that this dollar amount will vary, based on your utility service usage, other fees, charges, or taxes that may be imposed by the electric utility provider, changes in the electric utility provider’s rates, and other factors.

Utility Bill Payment Processing Service” means the service by which GPC stores your registered Payment Method information in connection with your Google Payments Account and facilitates processing of or processes a payment to your electric utility provider.

Utility Bill Payment Transaction” means the processing of a payment that results in the debiting or charging, or other related transaction, of the Utility Bill Payment Amount to your Payment Method.

Capitalized terms used but not defined in these Nest Renew Premium Additional Terms have the meaning stated in the Google Pay/Google Payments Additional Terms of Service (U.S.).

 

Utility Bill Payment.

The Utility Bill Payment Processing Service offered by GPC electronically makes invoices available every billing period to you that reflect the Utility Bill Payment Amount you owe your utility provider and facilitates your payment from your account to a utility provider. Eligible payment methods (such as credit or debit cards) will be shown at checkout.

If you choose to pay a utility provider using the Utility Bill Payment Processing Service, you authorize GPC and its service providers, typically on or before your utility bill payment date, to either (i) provide information to the utility provider for processing of the Utility Bill Payment Transaction by the utility provider through a payment network; or (ii) submit the Utility Bill Payment Transaction to pay the utility provider for processing on your behalf through a payment network and to submit charges (and, in the case of refunds, credits) to your registered Payment Method. Where GPC processes the transaction, GPC will access a payment network and process the Utility Bill Payment Transaction on your behalf. You also agree that GPC may resubmit a Payment Transaction to the payment network for processing one or more times in the event that a prior Payment Transaction is declined or returned by the payment network or there is a technical issue causing the transaction not to go through to the payment network.

If you choose to enable the Nest Renew Premium services (specifically the Utility Bill Payment Processing Service), you may be required to submit additional identifying information (e.g., name, address, date of birth, social security number) and documentary evidence of such information to us prior to activating or continuing your Nest Renew Premium services. If you decline to provide such identifying information or we are unable to verify such information, we may decline your attempted Utility Bill Payment Transaction, suspend your access to Nest Renew Premium services, or suspend your Google Pay or Google account. If we suspend your Google Pay or Google account, we will provide any held funds to you to the extent permitted by law.

Even if you submit the required additional identifying information and we are able to verify it, we may not activate or continue the Nest Renew Premium services, in our sole and absolute discretion at any time.

Any identifying information, including supplemental identifying information, that you provide to us for purposes of activating the Nest Renew Premium services will be used by us to verify your identity, and on an ongoing basis to protect you and us from fraud or abuse, including for review of high risk transactions, and to protect against account takeover or compromise of your Google Pay account. 

 

Billing for Nest Renew Premium.

 

Automatic Billing.

By enrolling in Nest Renew Premium, you agree to automatic payments for the amount you owe each billing period (as indicated on your Payment Statement) and you authorize GPC to initiate payment of your utility bills automatically to your designated utility provider. Unless otherwise stated when you enroll in Nest Renew Premium, your automatic payments will start after the first issuance of a bill by your utility provider following your enrollment in Nest Renew Premium. You may have the option to pay your current utility bill through the Nest Renew Premium services at the time of enrollment. If you don’t pay your current bill through the Nest Renew Premium services, you will be responsible for directly paying any bills from your utility provider issued prior to your enrollment in Nest Renew Premium.  

This is a recurring billing transaction. Unless otherwise stated, automatic payments and your Nest Renew Premium subscription will continue indefinitely until canceled by you or until automatically canceled by us as a result of your failure to keep necessary details up-to-date, like your Payment Method, street address, and/or utility provider account information, or for other reasons in our sole discretion. 

By clicking “Agree & Subscribe” (or similar phrase), you authorize GPC to initiate payment of each bill of your designated utility provider(s) and payment of the Subscription Payment Service through debits or other charges to your chosen Payment Method in the Utility Bill Payment Amount and the Subscription Payment Amount. You further authorize GPC to initiate debits or other charges in the Utility Bill Payment Amount and the Subscription Payment Amount to the alternate Payment Method, if you have selected one in your Google Pay Account, in the event that the debit or charge to your designated Payment Method doesn’t occur for any reason. GPC may, but is not obligated to, charge your alternate Payment Method. You certify and confirm that you are authorized to make payments for the Nest Renew Premium services with your designated Payment Method and alternate Payment Method (if applicable).

Your Payment Method will be billed after the Payment Statement has been delivered to you. You will receive prior electronic notification of the Utility Bill Payment Amount and the Subscription Payment Amount you owe each billing period at least 10 days before the scheduled date of the Utility Bill Payment Transaction and the Subscription Payment Transaction. (This will not apply to any one-time payment of a current utility bill that you choose to complete during your Nest Renew Premium enrollment.) 

The Utility Bill Payment Amount and Subscription Payment Amount will continue to be charged to your Payment Method or alternate Payment Method (if applicable) each billing period until you cancel the Nest Renew Premium services, except as otherwise stated in these Nest Renew Premium Additional Terms. You may cancel recurring billing at any time by following the process described in the Nest Renew Cancellation Policy. Canceling recurring billing will cancel the Nest Renew Premium services. Cancellation will be effective immediately unless a Utility Bill Payment Transaction is currently pending, in which case cancellation won’t become effective until the processing of such transaction is complete. You won’t receive a refund for any Utility Bill Payment Transaction that is already pending at the time of cancellation. Canceling the Nest Renew Premium services will immediately revoke your access to the Nest Renew Premium features. You can view details about pending or past transactions after canceling the Nest Renew Premium services for a limited period by visiting your Nest Renew account. Please also see the Stop Payment section below. 

In the event that your Payment Method fails and you don’t update your Payment Method information within 7 days of such failure, Google may automatically cancel your Nest Renew Premium services, in which case you will be responsible for paying your utility provider directly for your Utility Bill Payment Amounts.

If you choose to delete your Google account, delete your Google Pay account, or delete (or leave) the Google Home structure associated with your Nest Renew Premium subscription, then effective immediately, (i) your Nest Renew Premium services and benefits will no longer be provided, (ii) Clean Energy Match may not be provided for the period of time between your most recent payment and date of cancellation, and (iii) GPC will stop facilitating Utility Bill Payment Transactions to your utility provider on your behalf, including any pending Utility Bill Payment Transaction at the time of deletion, and you will be responsible for paying your utility provider directly.

It is your sole responsibility to contact your utility provider directly if you don’t receive your billing statement from the utility provider. You understand and acknowledge that GPC has no obligation to update or change your personal information, such as name, address, phone number(s) and email address(es) that you have established with the utility provider. It is your sole responsibility to keep your personal information up to date with your utility provider. You also agree not to use someone else’s information to gain unauthorized access to another person’s bill.  

Google or GPC may provide your email address, service address, or other data specifically requested by the utility provider to the utility provider, including but not limited to at the time of activating the Utility Bill Payment Processing Service for you for that utility provider, in order for the utility provider to inform you about the utility service and/or bill information, or to research payments or potential fraud. Further, Google and GPC may provide and use such information as described in the Google Privacy Policy and Google Payments Privacy Notice.  

While the Utility Bill Payment Service is being activated for a utility provider, it is your responsibility to keep your Utility Account with your utility provider current.

When you activate the Utility Bill Payment Processing Service, you're authorizing Google to obtain bill data from the utility provider on your behalf. For some utility providers, you’ll have to provide Google with your user name and password for that utility provider to use these services. By providing Google with such information, you authorize Google to use those credentials to obtain your bill data. In order for utility bill payments to be processed more efficiently and effectively, Google may edit or alter payment data or data formats provided by you in accordance with utility provider directives and instructions.

We reserve the right to arrange for refunds or credits to the Payment Method debited or charged for the payment in question at our sole discretion. If we arrange for such a refund or credit, we are under no obligation to arrange for the same or similar refund in the future.

You should turn off automatic payments with your utility provider when prompted by Nest Renew. If you don’t turn off automatic payments and overpay a utility bill as a result, your utility provider may credit your Utility Account instead of arranging for a refund. In such case, GPC won’t provide you a refund. You must contact the utility provider directly to request a refund.

 

Free Trials.

We may offer free trials of the Nest Renew Premium services for limited periods of time. If we offer you a free trial, the specific terms of your free trial will be provided at registration. We have no obligation to notify you when your free trial ends, and we reserve the right to modify or terminate free trials at any time, without notice and in our sole discretion.

 

Subscription Price Changes.

In the event we change the pricing for Nest Renew Premium following your enrollment, we will give you advance notice of this change. After receiving this notice, you will be deemed to have accepted the change in pricing, unless you cancel your subscription in accordance with the Nest Renew Cancellation Policy.

 

Stop Payment Requests.

If you would like to stop a payment for any scheduled Utility Bill Payment Transaction using a Payment Method that is a debit card or that debits or charges your bank account (automated clearing house payment (ACH)-enabled), please see Google Pay/Google Payments Additional Terms of Service (U.S.), Section 7.4).

GPC may not be able to assist with a stop payment request for any scheduled Payment Transaction using a Payment Method that is a credit card; in such case, you should contact your credit card issuer directly.  

The following applies only to a scheduled Payment Transaction using a Payment Method that is a debit card or that debits or charges your bank account (automated clearing house payment (ACH)-enabled). You can stop payment by calling us at 1-855-870-2997 or writing us at Google, Nest Renew 1600 Amphitheatre Parkway Mountain View, CA 94043 in time for us to receive your request at least three (3) business days or more before the scheduled date of the Payment Transaction. If you call, we may also require you to put your request in writing and get it to us within 14 days after your call, and your oral stop payment order will cease to be binding after the 14 day period if you fail to provide the requested written confirmation. If you order us to stop payment of a Payment Transaction 3 business days or more before the payment is scheduled, and we don’t do so, we will be liable for your losses or damages. GPC won’t be able to stop payment of a Payment Transaction which has cleared at the time GPC receives your stop payment request. GPC also may not be able to stop payment if it doesn’t have a reasonable opportunity to act on your stop payment request before the Payment Transaction has been processed. 

 

Disputing Charges.

If you think there is an error in a Utility Bill Payment Transaction that used a Payment Method that is a debit card or that debits or charges your bank account (automated clearing house payment (ACH)-enabled), or you have questions or need more information about such a Payment Transaction, please see Google Pay/Google Payments Additional Terms of Service (U.S.), Section 7.5) and the Google Pay Customer Service and Error Resolution Policy. You can also contact us by calling us at 1-855-870-2997, using the Google Nest Help contact form, or mailing or delivering your written request to Google, Nest Renew 1600 Amphitheatre Parkway Mountain View, CA 94043.

ALL QUESTIONS ABOUT TRANSACTIONS MADE USING THE NEST RENEW PREMIUM SERVICES MUST BE DIRECTED TO US (GPC), AND NOT TO THE BANK OR OTHER FINANCIAL INSTITUTION WHERE YOU HAVE YOUR PAYMENT METHOD ACCOUNT. 

We won’t send you a periodic statement listing transactions that you make using the Nest Renew Premium services. The completed transactions will appear only on the receipts from us and the statement issued by your bank or other financial institution. SAVE THE RECEIPTS YOU ARE GIVEN WHEN YOU USE THE NEST RENEW PREMIUM SERVICES, AND CHECK THEM AGAINST THE ACCOUNT STATEMENT YOU RECEIVE FROM YOUR BANK OR OTHER FINANCIAL INSTITUTION. If you have any questions about one of these transactions, call or write us at the telephone number and email address indicated above.

IF YOUR GOOGLE USERNAME AND PASSWORD OR OTHER MEANS OF ACCESSING YOUR ACCOUNT USED TO ACCESS THE NEST RENEW PREMIUM SERVICES IS LOST OR STOLEN, NOTIFY US AT ONCE by calling or writing to us at the telephone number and email address indicated above.

 

Liability for Unauthorized Utility Bill Payment.

If you think there has been an unauthorized Utility Bill Payment Transaction using a Payment Method that is a debit card or that debits or charges your bank account (automated clearing house payment (ACH)-enabled), please see the Google Pay Customer Service and Error Resolution Policy. You can also contact us by calling us at 1-855-870-2997, using the Google Nest Help contact form, or mailing or delivering your written request to Google, Nest Renew 1600 Amphitheatre Parkway Mountain View, CA 94043.

 

Liability for Failure to Process Utility Bill Payment.

For more information on a failure to process a Utility Bill Payment Transaction that used a Payment Method that is a debit card or that debits or charges your bank account (automated clearing house payment (ACH)-enabled), please see Google Pay/Google Payments Additional Terms of Service (U.S.), Section 7.6) and the Google Pay Customer Service and Error Resolution Policy.

 

Returned Utility Bill Payment Transactions.

In using the Utility Payment Processing Service, you understand that Utility Bill Payment Transactions may be returned for various reasons, such as the utility provider’s address has expired or isn’t valid, the utility provider’s account number isn’t valid, the utility provider is unable to locate your account, or the utility provider has already been paid in full. The Utility Payment Processing Service will use its reasonable efforts to research and correct the returned payment, or void the payment and credit the Payment Method which was debited or charged for the returned Utility Bill Payment Transaction. You may receive notification from the Utility Payment Processing Service about the returned Utility Bill Payment Transaction.

 

Refunds.

Except as expressly set out in these Additional Payment Terms and Conditions or required by law, Payment Transactions are nonrefundable. You are entitled to a refund of the money to be transmitted to the utility provider as a result of this agreement if GPC doesn’t forward the money received from you within 10 days of the date of its receipt, or doesn’t give instructions committing an equivalent amount of money to the utility provider designated by you within 10 days of the date of the receipt of the funds from you unless otherwise instructed by you. If your instructions as to when the moneys should be forwarded or transmitted aren’t followed and the money hasn’t yet been forwarded or transmitted, you have a right to a refund of your money. If you want a refund, you must call us at 1-855-870-2997, use the Google Nest Help contact form, or mail or deliver your written request to Google, Nest Renew 1600 Amphitheatre Parkway Mountain View, CA 94043.

 

Customer Service Credits. 

We may issue you a customer service credit to be applied against amounts owed to Google for the Nest Renew Premium services. Such credits are issued by Google LLC, unless otherwise specified, and may only be redeemed against Subscription Payment Amounts. The credit will be automatically applied in its entirety to your next Subscription Payment Amount and will expire thereafter; any remaining balance may not be used for future Subscription Payment Amounts. Additionally such credits may not be redeemed against Utility Bill Payment Amounts. These credits aren’t redeemable for cash or other cards or forms of payment, aren’t transferable, reloadable, or refundable, can’t be combined with other balances in your Google Pay account, and can’t be resold, exchanged, or transferred for value, except as required by law. We disclaim all express or implied warranties as to the credits and their redemption site.

Google is not responsible if a credit is lost, stolen, destroyed, or used without your permission. Google may close customer accounts and bill alternative forms of payment if fraudulently obtained credit is used. 

This section doesn’t apply to refunds or provisional credits, which are addressed separately above.

Information Regarding State Regulators.

Please see the Google Payment Corp. Money Transmitter licenses page for a list of the jurisdictions in which GPC holds a money transmitter or other license and information on how to contact the regulatory authority in those jurisdictions.

In addition to the payment dispute information above, please refer to Nest Renew Support to learn more about the support offered by Google in connection with Nest Renew. Nest Renew Support may be contacted through the Google Nest Help contact form or at 1-855-870-2997.

Miscellaneous

Age Requirement. You must be eighteen (18) years or older to use Nest Renew Premium.

Changes to the Nest Renew Premium Additional Terms. We reserve the right to change, modify, or amend any portion of these Nest Renew Premium Additional Terms at any time, with or without notice to you. Changes to these Nest Renew Premium Additional Terms will become effective immediately unless stated otherwise. These Nest Renew Premium Additional Terms will be posted to the Nest Renew web portal. Your continued use of the Nest Renew Premium services will be deemed acceptance thereof. If we make any changes that we deem to be material, we will make a reasonable effort to inform you of such changes. If you don’t agree with changes to these Nest Renew Premium Additional Terms, your sole and exclusive remedy is to terminate your use of the Nest Renew Premium services.
