UK Living Wage and Non PAYE Workers Attachment

This Attachment will apply to any Services performed in the United Kingdom. To the extent this Attachment and the body of the ISA conflict, this Attachment will govern.
1. Definitions.
1.1 Google On Site Staff” means all of Contractor’s Personnel who:
  (A) provide Services to, or on behalf of, Google (or any of its affiliates); and
  (B) provide those Services for the Minimum Hours or more; and
  (C)  provide those Services at any premises or land in the United Kingdom that is owned, leased or otherwise exclusively occupied by Google (or any of its affiliates).
1.2 Greater London” means the 32 London Boroughs and the City of London, or such other area designated as Greater London by the Living Wage Foundation from time to time.
1.3 London Rate” means the London Living Wage rate set by the Living Wage Foundation (which is subject to annual review), which is set out at http://www.livingwage.org.uk/, or such URL as may replace it from time to time.
1.4 UK Rate” means the UK Living Wage rate set by the Living Wage Foundation (which is subject to annual review), which is set out at http://www.livingwage.org.uk/ or such URL as may replace it from time to time.
1.5 Minimum Hours” means 2 or more hours of work in any given day in a week, for 8 or more consecutive weeks in a year.
1.6 Living Wage Foundation” means the Living Wage Foundation, part of Citizens UK, Charity No. 1107264 and whose website is at the following URL (or such URL as may replace it from time to time): www.livingwage.org.uk, or any successor body.
2. Requirements. Contractor will:
2.1 ensure that all of the Google On Site Staff are paid no less than:
  (A) the London Rate, for those providing Services at premises or land in Greater London; and
  (B) the UK Rate, for those providing Services at premises or land in the United Kingdom, outside Greater London;
2.2 if the London Living Wage Foundation makes any increase to the London Rate and/or the UK Rate, ensure that all of the Google On Site Staff are paid no less than the increased London Rate and/or UK Rate (as applicable), as soon as possible after the date of any such increase and in any event within six (6) months of the date on which any such increase is officially announced by the Living Wage Foundation; 
2.3 if any increase to the wages of the Google On Site Staff is required under Section 2.2 of this Attachment, Contractor will:
  (A) notify all such individuals of the date of the next increase in their pay within one month of the official announcement of the increase in the London Rate and/or UK Rate (unless such individuals have already been notified of an increase in their pay which will result in their pay being at least equal to the newly increased London Rate and/or UK Rate); and
  (B) identify and report to Google the number of Google On Site Staff affected annually and/or within 10 days of Google’s request;
2.4 ensure that it includes all of the terms at Sections 2.1 to 2.3 of this Attachment in all Contractor’s contracts with sub-contractors, under which any Google On Site Staff are provided; and
2.5 provide employee payment records and other evidence to demonstrate, to Google’s reasonable satisfaction, compliance with Sections 2.1 to 2.4 of this Attachment, within 10 business days of a written request from Google, (and subject to such confidentiality and data protection obligations as reasonably requested by Contractor).
3. Non PAYE Workers. Where Contractor seeks consent to subcontract any Services, Contractor represents and warrants:
3.1 Contractor will identify any Personnel who are not Contractor’s PAYE (Pay As You Earn) workers; and,
3.2 When requested, Contractor will promptly provide all reasonably requested information and assistance for Google to conduct any assessments in order to comply with the off payroll working rules (IR35) requirements.
