This article provides a comprehensive overview of the payment and subscription terms for Gemini Enterprise – Business edition. It outlines the available billing cycles, seat licensing adjustments, trial boundaries, and cancellation policies to ensure a clear understanding of your service commitment.

Payment and Subscription Terms

Available Subscription Terms

• Monthly Term: 30-day billing cycle.
• Annual Term: 12-month commitment billed monthly at a discounted rate. By selecting this term, you commit to a full 12-month service period.
• Billing Date: For both terms, actual charges to your payment method occur on the first day of each month for the preceding month's service (unless you reach a spending threshold). This will include your base subscription and any pro-rated adjustments made during that month.

Seat Licensing & Billing Adjustments

Our service is billed on a fixed per-seat fee. A seat is required for each individual user accessing the platform. This fee is a set amount per seat and is not based on usage.

Seat changes

• Seat Increases: Take effect immediately. The pro-rated cost for the new seats is calculated at the time of the change and added to your month-end invoice.
• Seat Decreases: Take effect immediately. A pro-rated credit for the unused portion is applied to your account balance for the month-end invoice.

Term changes

• Term Upgrades: Upgrading from Monthly to Annual is effective immediately. The pro-rated adjustment is reflected on your month-end invoice.
• Term Downgrades: Switching from an Annual term to a Monthly term is not permitted until the 12-month commitment is fulfilled.

Trial Rules

New users may be eligible for a limited-time trial. Please note the following restrictions:

Trial Boundaries (No Cost)

• You may use up to 5 seats on a Monthly Term at no cost for the duration of the trial.
• At the end of the trial, your account converts to a paid subscription. You are billed on the first of the next month following the trial's expiration.

The trial ends instantly and you are required to pay immediately if you:

• Increase your seat count above 5 seats.
• Change your billing term from Monthly to Annual.
• Note: In these cases, you are liable for the full seat count at the time of purchase, with the charge appearing on the last day of the current month.

Cancellations and Refunds

• Effective Date: All cancellations take effect only at the end of the current term. (For Annual plans, this is the end of the 12-month commitment). You continue to have access to the service until the period you have already committed to expires.
• Trial Cancellations: If you cancel during your trial period, your access continues until the trial's end date, at which point the automatic transition to a paid subscription will be deactivated.
• Data Deletion: Upon the effective date of cancellation, your data is deleted subject to our standard retention policies. For more information, please refer to the GEBE Service Specific Additional Terms.
• Refund Policy: Unless otherwise required by law, all charges are non-refundable. Because all adjustments are calculated and finalized on your month-end invoice, no credits are issued for future billing periods.

Illustrative Examples

• Scenario 1: Adding a Seat (Mid-Month)
  You have 10 seats. On day 15 of your 30-day cycle, you add 1 seat. You are not charged that day; instead, 50% of that seat's monthly cost is added to your total bill and processed on the first day of the following month (unless you reach your spending threshold sooner).
• Scenario 2: Reducing Seats
  You remove 2 seats mid-month. Those seats are removed immediately, and a credit for the remaining days is applied to the same invoice, reducing the total charge processed on the first of the next month (or next threshold charge).
• Scenario 3: Ending the Trial Early
  You are on day 5 of a 5-seat trial and add a 6th seat. Your trial ends immediately, and on the first day of the next month (unless you reach your spending threshold sooner), you are charged for the upcoming month's full seat count.
• Scenario 4: Canceling an Annual Plan
  You cancel 4 months into a 12-month commitment. Your subscription remains active and you continue to be billed monthly on the first day of each month (unless you reach your spending threshold sooner) until the 12th month is completed.
