Advertising Gambling Terms and Conditions Agreement *

  1. Customer’s  use of the Authorized Buyers  service in connection with Gambling Advertisements (as defined below) is subject at all times to Customer’s acceptance of and compliance with these additional terms (the "Authorized Buyers Gambling Advertising Addendum" or "AB Addendum") and each service agreement entered into between Customer and Google. A defined term used in this AB Addendum but not defined here will have the same meaning as set out in the Authorized Buyers Agreement. "Gambling Advertisements" means any advertising campaigns for gambling activities (including, without limitation, spread betting activities) submitted to the Authorized Buyers service by Customer (including, without limitation, on Customer’s behalf or on behalf of the entity which holds the Gambling License (the "Gambling Licensee")) pursuant to this AB Addendum. "Customer" means the legal entity that has entered into the Authorized Buyers Agreement. If Customer is submitting Gambling Advertisements on behalf of an Advertiser, Customer warrants, represents and undertakes that it is authorized to act on behalf of, to submit this application on behalf of, and has bound to this AB Addendum, that Advertiser. Customer will be liable for Advertisers’ obligations under and breach of this AB Addendum. If Customer is submitting Gambling Advertisements on its own behalf to advertise and not on behalf of an Advertiser, for that use, Customer will be deemed to be both Customer and Advertiser.
  2. Customer further warrants, represents, and undertakes that:
    • all Gambling Advertisements will comply with the terms of i) a license, ii) an authorization or permission issued to Advertiser by any legal or regulatory gambling authority of the jurisdiction where the Gambling Advertisement will be displayed (the "Gambling License"), and (iii) all applicable laws, regulations, and relevant codes of practice;
    • Advertiser and/or the Gambling Licensee hold a valid Gambling License for Advertiser’s advertised gambling activities, if required by applicable laws or regulations; and
    • Customer, Advertiser, and/or the Gambling Licensee (as applicable) will comply with all applicable laws, regulations, and relevant codes of practice with respect to the content and function of Advertiser’s (or, as applicable, Gambling Licensee’s)  website(s), which may include, but not be limited to:
      1. posting Advertiser’s (or, as applicable, Gambling Licensee’s) Gambling License number or other authorization number;
      2. advising potential end users of the legal age to participate in gaming activities and warning potential end users that underage gaming is illegal;
      3. requiring users affirm they are of legal age to participate in gambling activities;
      4. implementing and maintaining age-verification systems as required by law;
      5. posting information about responsible gambling, making available self tests to allow individuals to determine whether they are at risk of gambling addiction, providing information about treatment options for compulsive gambling, indicating the location of treatment centers for gambling addiction, etc., as required by law; and
      6. ensuring relevant staff are properly trained in the use of age verification systems.
  3. If Customer subcontracts the provision of  gambling activities and/or Gambling Advertisements in whole or in part to any third parties, including but not limited to, any agency or affiliate entities, or any of Customer’s associated companies ("Customer’s Affiliates"), Customer is responsible for compliance with this AB Addendum by such Customer’s  Affiliates and for any acts or omissions of the Customer’s Affiliates pursuant to this AB Addendum.
  4. If the Gambling License is terminated, Customer must immediately inform Google and remove all Gambling Advertisements from the Authorized Buyers service.
  5. If the Gambling License is amended in any way, Customer must immediately inform Google and send an updated copy of it as soon as possible, together with an explanation of the changes insofar as they relate to the lawful advertising of Advertiser’s or the Gambling Licensee’s gambling activities in any of the countries or territories Advertiser or the Gambling Licensee targets with the Gambling Advertisements.
  6. Customer must inform Google immediately if Customer, Customer’s Affiliates, Advertiser, and/or the Gambling Licensee are the subject of any ruling by the applicable local gambling authority, any other legal or regulatory authority, or any industry body, which may be relevant to the Gambling Advertisements.
  7. Customer will indemnify and defend Google, its agents, affiliates, directors, officers, employees Partners ("Google Indemnified Persons"), or, as applicable, a third party (“Partners”) from and against any claims, losses, liabilities, expenses, damages, and settlement amounts (including legal fees and costs) incurred by any Google Indemnified Person(s) or Partners arising out of  Customer’s, Customer’s Affiliate’s, or any Advertiser’s, breach of this AB Addendum.
  8. This AB Addendum does not become effective until such time as Google notifies Customer that Advertiser’s application has been accepted. Google will send Customer a notification if and when its application on behalf of the Advertiser has been accepted. Google reserves the right to (i) suspend the Authorized Buyers service with respect to the Gambling Advertisements at any time, and (ii) terminate this AB Addendum if it otherwise decides to no longer include Gambling Advertisements as part of the Authorized Buyers service.
